外资企业注册资本与投资总额比例应符合工商企字[1987]第38号《国家工商行政管理局关于中外合资经营企业注册资本与投资总额比例的暂行规定》要求。该暂行规定的内容虽然是针对中外合资企业的，实际上适用于各种类型外资企业的新设立和增资情况。企业可在实际操作中根据需求确定注册资本与投资总额差额，从而确定可向银行贷款计入投资总额的份额。
